1Service provider identification

The Propiedash platform (the "Platform") is operated in the Bolivarian Republic of Venezuela by Propiedash, C.A., a commercial company domiciled in Caracas, Venezuela, a subsidiary of Propiedash LLC, a company organized under the laws of the State of Delaware, United States of America, with its address at 8 The Green, Ste R, Dover, DE 19901, United States of America, which provides the technological infrastructure and processes international card payments (hereinafter, jointly, "Propiedash", "we", "us").

2Purpose and scope of the service

Propiedash is a technology platform that makes available to Users a virtual space for the publication, search, and consultation of listings for properties for sale or rent in Venezuela, as well as complementary tools, including: professional profiles, a directory of real estate professionals and suppliers, internal messaging between Users, alerts, and market statistics.

Propiedash does not provide real estate brokerage or intermediation services, does not offer legal, financial, or investment advice, and does not participate in the transactions entered into between Users, as detailed in Section 10 of these Terms.

Access to and use of the Platform is governed by these Terms, by the Privacy Policy, and by the Community Guidelines, which form an integral part hereof.

3Definitions

For the purposes of these Terms, the following terms shall have the meanings indicated below:

• Platform: the propiedash.com website, its subdomains, applications, and all associated services operated by Propiedash.
• User: any natural or legal person who accesses or uses the Platform, whether registered or not.
• Advertiser: the registered User who publishes Listings on the Platform, whether as owner of the property, real estate agent, or authorized representative of third parties.
• Agency: the Advertiser organized as a real estate company that operates an agency account, with one or more associated members.
• Listing: the publication of a property on the Platform, including its description, price, location, photographs, videos, floor plans, and other associated information.
• Content: all information, text, photographs, videos, floor plans, data, or materials that the User uploads, publishes, or transmits through the Platform.
• Plans: the free or paid subscription tiers that determine the features and limits available to each account, described on the pricing page.
• Dashtag: the unique public identifier (preceded by the "@" symbol) assigned to each professional profile on the Platform.
• DASHCODE: the unique short alphanumeric code that identifies each Listing and allows it to be located directly on the Platform.
• BCV Rate: the official exchange rate published by the Central Bank of Venezuela, used as a reference for conversions between United States dollars (USD) and bolivars (Bs.).

4Electronic acceptance of the Terms

Registering an account, checking the acceptance box, or using the Platform constitutes the User's expression of intent to accept these Terms in their entirety and to be bound by them. In accordance with Venezuelan Decree-Law No. 1,204 on Data Messages and Electronic Signatures, such electronic acceptance has the same legal validity and evidentiary effect as the law grants to handwritten signed documents.

If the User does not agree with any of these Terms, they must refrain from using the Platform. We recommend keeping a copy of these Terms.

5Capacity and minimum age

Use of the Platform is reserved for persons over eighteen (18) years of age with full legal capacity to contract under Venezuelan law. Anyone acting on behalf of a legal entity represents that they hold sufficient power or authorization to bind it; otherwise, they shall be personally liable for the obligations assumed.

6User accounts

6.1. Registration and accuracy

The User undertakes to provide truthful, complete, and up-to-date information when registering and to keep it updated for as long as their account remains active. Propiedash may suspend or cancel accounts whose information proves to be false, inaccurate, or misleading.

6.2. Safekeeping of credentials

The User is responsible for the safekeeping and confidentiality of their access credentials and for all activity carried out from their account. They must immediately notify Propiedash of any unauthorized use or suspected compromise of their account at [email protected].

6.3. Verification

Propiedash may request additional documentation and information to verify the identity of Users, the ownership of professional accounts, and agent or Agency status, and may grant or withdraw verification badges at its reasonable discretion. Verification does not constitute a guarantee or endorsement of the verified User's conduct.

6.4. Identifiers

The Dashtag and other assigned identifiers do not confer ownership rights on the User. Propiedash may reclaim or reassign them in cases of impersonation, infringement of third-party rights, prolonged inactivity, or legal requirement.

6.5. Multiple accounts

Creating multiple accounts for fraudulent purposes, to evade restrictions, suspensions, or Plan limits, or to manipulate Platform metrics is prohibited.

7Listings and Advertiser responsibility

7.1. Sole responsibility of the Advertiser

The Advertiser is solely and exclusively responsible for the truthfulness, accuracy, currency, and lawfulness of the Listings they publish, for holding the authorization or mandate necessary to offer the property for sale or rent, and for owning the rights to the photographs, videos, floor plans, and other materials they upload, or holding a sufficient license for their use.

7.2. Advertiser representations

By publishing a Listing, the Advertiser represents and warrants that:

• They are legally entitled to offer the property for sale or rent.
• The Listing information (location, area, price, features, and condition) is truthful, complete, and kept up to date.
• The photographs and videos correspond to the advertised property.
• The Listing does not infringe third-party rights or any applicable urban planning, environmental, registry, or other regulations in force in Venezuela.

7.3. Property prices

Property prices are freely set by the Advertiser and are expressed in accordance with Section 12.2 of these Terms. Propiedash does not intervene in price setting and does not guarantee their reasonableness or correspondence with the market.

7.4. Plan limits

The number of active Listings and the available features (including videos, floor plans, featured placements, and professional tools) depend on the Plan contracted by the Advertiser.

8Prohibited content and conduct

The following is prohibited, by way of example and without limitation:

• Publishing false, fraudulent, or misleading Listings, listings of non-existent properties, or listings of third-party properties without authorization.
• Publishing Listings or content that discriminates on the basis of race, sex, creed, social condition, or any other category protected by the Venezuelan Constitution and laws.
• Using the Platform for unlawful activities, including real estate fraud, scams, or money laundering.
• Impersonating third parties or claiming representations one does not hold.
• Using automated mechanisms (bots, scrapers, crawlers) to extract data or content from the Platform without Propiedash's prior written authorization.
• Introducing viruses or malicious code, attempting to gain unauthorized access to the Platform's systems or data, or interfering with its operation — conduct criminalized under Venezuela's Special Law against Computer Crimes (Ley Especial contra los Delitos Informáticos).
• Harassing, threatening, defaming, or attacking other Users through any Platform channel.
• Publishing third parties' personal data without their consent or using other Users' contact details for purposes other than the real estate transaction inquired about.

Propiedash may remove infringing Content, suspend or cancel the accounts involved, and report the facts to the competent authorities, in accordance with Section 15.

9License to User content

The User retains ownership of their Content. However, by uploading it to the Platform, the User grants Propiedash a non-exclusive, worldwide, royalty-free license, transferable to its affiliates, for as long as the Content remains on the Platform and for the additional period reasonably necessary for the purposes set out herein, to host, store, reproduce, adapt, modify — including the application of watermarks, cropping, and adjustments of format, size, and quality —, publicly communicate, display, and distribute such Content on the Platform and on Propiedash's official channels, including social media formats and materials promoting the Listings and the Platform.

This license survives with respect to residual copies that remain in caches, backup systems, and technical logs for a reasonable period after the Content is deleted. The User represents that they hold all rights necessary to grant this license and shall hold Propiedash harmless from third-party claims arising from the Content, in accordance with Section 17.

10Propiedash is not a party to transactions

Propiedash is a technology platform that merely makes available to Users a virtual space for the publication of real estate listings. Propiedash is not a real estate broker or intermediary, does not own the advertised properties, does not participate in the negotiation or execution of transactions entered into between Users, does not receive any commission on such transactions, and does not verify the ownership, encumbrances, or registry status of the properties, whose verification is the responsibility of the interested parties before the competent Public Registry.

All negotiations, visits, agreements, payments, and closings take place directly between the parties and at their sole responsibility. Propiedash strongly recommends verifying the identity of the counterparty and the property's documentation, and formalizing transactions before the competent Registry or Notary, with the assistance of legal professionals.

11Internal messaging

The Platform offers an internal messaging service to facilitate communication between Users regarding Listings. It is prohibited to use the messaging service to send unsolicited mass communications, fraudulent or misleading content, or malicious links, or to harass other Users.

Propiedash may apply automated filters and review flagged or reported messages for fraud prevention, security, and compliance with these Terms, as described in the Privacy Policy. The messaging service does not constitute a channel for legal notices to Propiedash.

12Plans, payments, and billing

12.1. Plans

The Platform offers a free plan and paid Plans with additional features, whose current characteristics and prices are published on the pricing page. Propiedash may modify the features and prices of the Plans, with notice as set out in Section 19; price changes will not affect periods already paid for.

12.2. Currency of account and BCV rate

The prices of the Plans and of the advertised properties are expressed in United States dollars (USD) as the currency of account and reference, in accordance with Article 128 of the Law of the Central Bank of Venezuela and Exchange Agreement No. 1 (2018). Payments made in bolivars are calculated at the official exchange rate published by the Central Bank of Venezuela (BCV) in force on the date of payment. The bolivar equivalent displayed on the Platform is for reference purposes. The bolivar is the legal tender of Venezuela.

12.3. Payment methods

• International card (Stripe): card payments are processed in USD through Stripe and received by Propiedash LLC, in accordance with Section 1. Card data is handled directly by the payment processor and is not stored by Propiedash.
• Pago Móvil: Pago Móvil payments are made in bolivars, calculated at the BCV rate in force on the date of payment, and are subject to manual verification. The Plan is activated once the payment has been verified, which may take up to twenty-four (24) business hours.

12.4. Taxes

Published prices do not include applicable taxes. Any taxes levied on the transactions (including, where applicable, VAT and the IGTF) shall be borne by the User in accordance with the tax regulations in force.

13Renewal, cancellation, and refunds

13.1. Renewal

Paid Plans are contracted for successive periods (monthly or annual, as applicable). Plans paid by card renew automatically at the end of each period unless previously canceled. Plans paid via Pago Móvil are renewed through a new verified payment.

13.2. Cancellation

The User may cancel their Plan at any time from their account settings. Cancellation takes effect at the end of the period already paid for, during which the User retains the Plan's features.

13.3. Refunds

Except in cases of billing errors attributable to Propiedash or where otherwise required by law, payments made are non-refundable and no prorated refunds are granted for unused periods. The removal of Listings or the suspension of accounts for breach of these Terms does not give rise to any right to a refund.

14Platform intellectual property

The Platform, its software, design, interfaces, databases, trademarks, logos, distinctive signs (including "Propiedash", "Dashtag", and "DASHCODE"), and other elements protected by intellectual property law are owned by Propiedash or its licensors. These Terms do not confer on the User any license or right over such elements, except for the personal, limited, non-exclusive, and non-transferable right to use the Platform in accordance with its intended purpose.

The reproduction, systematic extraction, or reuse of the content of the Platform's databases without Propiedash's prior written authorization is prohibited.

15Moderation, suspension, and termination

15.1. Moderation

Propiedash may review, moderate, edit formal aspects of, unpublish, or remove any Content or Listing that, in its reasonable judgment, breaches these Terms, the Community Guidelines, or the law, without prior notice.

15.2. Suspension and cancellation

Propiedash may temporarily suspend or permanently cancel accounts that breach these Terms, engage in fraudulent or unlawful conduct, or when required to do so by a competent authority. To the extent possible, and except in cases of urgency, fraud, or legal requirement, we will notify the User of the reason for the measure and give them an opportunity to remedy it.

15.3. Termination by the User

The User may close their account at any time from their account settings. Termination does not affect accrued payment obligations or the provisions that by their nature must survive (including, without limitation, Sections 9, 16, 17, and 23).

16Warranties and limitation of liability

16.1. "As is" service

The Platform is provided "as is" and "as available". To the maximum extent permitted by Venezuelan law, Propiedash makes no warranties of any kind, express or implied, regarding the uninterrupted availability of the service, the accuracy of the Listings and content published by Users, or the outcome of any transactions Users enter into with each other.

16.2. Availability

Propiedash may carry out scheduled or emergency maintenance involving the temporary suspension of the service, without incurring any liability.

16.3. Exclusion of indirect damages

To the maximum extent permitted by law, Propiedash shall not be liable for indirect damages, loss of profit, loss of business opportunities, loss of data, or reputational harm arising from the use of or inability to use the Platform, or for the acts or omissions of other Users.

16.4. Liability cap

Propiedash's total aggregate liability to the User, regardless of its cause, shall not exceed the amount actually paid by that User to Propiedash during the twelve (12) months preceding the event giving rise to the claim. Nothing in these Terms limits any liability that cannot be limited or excluded under Venezuelan law.

17Indemnification

The User shall hold Propiedash, its affiliates, directors, employees, and representatives harmless from any claim, demand, penalty, damage, cost, or expense (including reasonable attorneys' fees) arising from: (i) the Content they publish; (ii) their breach of these Terms or of the law; (iii) their infringement of third-party rights; or (iv) the transactions they enter into with other Users.

18Force majeure

Propiedash shall not be liable for delays or failures to perform caused by force majeure or fortuitous events, including, among others, widespread power or telecommunications outages, failures of infrastructure providers, cyberattacks, acts of nature, acts of authority, and any other circumstance beyond its reasonable control.

19Modifications of the Terms

Propiedash may modify these Terms at any time. Modifications will be published on the Platform with an indication of their update date and, when material, will also be notified to registered Users by email or through a prominent notice on the Platform, reasonably in advance of their entry into force.

Use of the Platform after the modifications take effect constitutes acceptance of the new Terms. If the User does not agree, they must stop using the Platform and may close their account.

20Notices

Notices from Propiedash to the User shall be validly served at the email address registered to their account or through notices on the Platform, and shall be deemed received on the date they are sent or published. Notices from the User to Propiedash must be addressed to [email protected]. It is the User's responsibility to keep their contact email address up to date.

21Assignment

Propiedash may assign its contractual position, as well as the rights and obligations arising from these Terms, to its affiliates — including Propiedash LLC — or to a third party in the context of a reorganization, merger, or business transfer, with notice to the User. The User may not assign their account or their rights or obligations under these Terms without Propiedash's prior written consent.

22Severability, no waiver, and entire agreement

If any provision of these Terms is declared null or unenforceable, the remaining provisions shall retain full validity and effect, and the affected provision shall be construed in the sense that best reflects its original purpose within the limits of the law. Propiedash's failure to exercise any right provided for in these Terms does not constitute a waiver thereof. These Terms, together with the Privacy Policy and the Community Guidelines, constitute the entire agreement between the User and Propiedash regarding the use of the Platform and supersede any prior agreement on the same subject matter.

23Governing law and jurisdiction

These Terms are governed by the laws of the Bolivarian Republic of Venezuela. For all matters relating to their interpretation, performance, and enforcement, the parties submit to the jurisdiction of the courts of the Judicial Circumscription of the Caracas Metropolitan Area, expressly waiving any other forum to which they might be entitled.

24Language

These Terms are executed in the Spanish language, which constitutes their official and legally binding version. The English version available on the Platform is provided as a courtesy translation only; in the event of any discrepancy between the two versions, the Spanish version shall prevail.
